ISO 27001:2022 Certified

REME (operated by People Central Pte Ltd) is ISO 27001:2022 certified for information security management.

Purpose and Scope

This Service Agreement (the "Agreement") sets out the terms under which People Central Pte Ltd ("REME", "Company") provides web-hosted expense management software to the Client.

Subject to the terms and conditions of this Agreement, REME will provide application web hosting services for the REME expense management platform to the Client.

Service Term and Renewal

Client agrees to an initial twelve (12) month contractual term of service. The first payment plus setup charges, if any, shall be due in advance of any service provided. Service shall begin upon Company receipt of payment for such first term of service, or upon a mutually agreed alternate date.

This Agreement will automatically renew for successive twelve (12) month terms unless cancelled in writing by the Client at least 30 days prior to the end of the term renewal date. Renewal prices are subject to change. Renewal of services by the Client indicates agreement to any contract revisions and price changes.

Only a secured URL shall be provided to access the REME expense management application. Storage limits and per-user pricing are as published at reimburseme.ai/pricing.

Proprietary Information & Intellectual Property

Proprietary information exchanged under this Agreement shall be treated as such by the Client. This information includes, but is not limited to, the provisions of this contract, product and expense management service information, and pricing.

Client further agrees not to decompose, disassemble, decode, or reverse engineer any Company program, code, or technology delivered to the Client or any portion thereof.

Disclaimer of Warranties

Company makes no warranties or representations of any kind, whether expressed or implied, for the expense management service it is providing. Company also disclaims any warranty of merchantability or fitness for any particular purpose and will not be responsible for any damages that may be suffered by Client, including loss of data resulting from delays, non-deliveries, or service interruptions.

Use of any information obtained by way of Company is at Client's own risk. Company expressly limits its damages to Client for any non-accessibility time to the pro-rata monthly charge during the system unavailability.

Client Obligations

Client warrants that it has the right to use any applicable trademarks or copyrighted material used in connection with this service.

Client agrees to allow the use of their approved logo and name on the REME website in the "Our Customers" section and in REME sales collateral.

Termination

Company may terminate this Agreement at its sole discretion upon material breach of terms by the Client, failure to make payment, Client insolvency, or any other cause deemed sufficient by the Company with reasonable notice.

Confidentiality

Company will not divulge, either in writing or orally, any information obtained from or through the Client to third parties, other than as required under any applicable law, regulation, or court order, without the prior written consent of the Client.

Confidential Information includes, but is not limited to, login credentials, passwords, files, and databases.

Indemnification

Client shall indemnify and hold Company harmless from and against any and all claims, judgments, awards, costs, expenses, damages, and liabilities (including reasonable attorney fees) of whatsoever kind and nature that may be asserted, granted, or imposed against Company directly or indirectly arising from or in connection with Client's marketing or support services of the product, or the unauthorised representation of the product and services, or any breach of this Agreement by Client.

Governing Law & Amendments

This Agreement shall be governed by and construed in accordance with the laws of Singapore. A failure by any party to exercise or delay in exercising a right or power conferred upon it in this Agreement shall not operate as a waiver of any such right or power.

Terms of Service will be revised from time to time. Continued use of REME services constitutes acceptance of any new or additional terms. REME reserves the right to amend, change, or modify these Terms of Service.
